Nimbus Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Nimbus. By using Nimbus, you agree to these Terms.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use Nimbus. By using Nimbus, you represent that you are legally able to enter into these Terms.

2. Description of Service

Nimbus helps users create groups, split expenses, track balances, send payment requests, manage disputes, connect optional third-party services, and view related payment or receipt information.

Nimbus is a coordination tool. Unless expressly stated otherwise, Nimbus is not a bank, money transmitter, lender, debt collector, money services business, or financial advisor.

3. Accounts and Access

You are responsible for:

• maintaining the confidentiality of your account;
• providing accurate account and profile information;
• all activity that occurs under your account; and
• ensuring that connected services or payment details you provide are accurate and authorized.

We may suspend or terminate access if we believe your account is being used unlawfully, fraudulently, abusively, or in violation of these Terms.

4. User Content and Group Data

You are responsible for the information you submit through Nimbus, including:

• group names and member details;
• expenses, splits, disputes, and balances;
• receipts, uploaded images, and payment requests;
• phone numbers and contact information for group members or recipients.

You represent that you have the rights and permissions needed to provide that information and to request repayment from the recipients you add or contact.

5. Non-App Recipients and Payment Requests

Nimbus may allow you to send payment requests to people who do not have the app installed. You agree to use this functionality only for legitimate shared-expense requests and only where you have a lawful basis and practical permission to contact the recipient.

You may not use Nimbus to:

• send spam, harassment, or misleading payment requests;
• impersonate another person;
• request payment for fabricated or unauthorized debts; or
• violate carrier rules, messaging rules, or applicable law.

6. Third-Party Services

Nimbus may integrate with third-party services including Google, Plaid, Twilio, and other providers. Your use of those services may also be subject to the third party's own terms and privacy policies.

Nimbus is not responsible for the acts, omissions, downtime, policies, or decisions of third-party providers.

7. No Guarantee of Payment or Collection

Nimbus does not guarantee that any recipient will pay a request, that any balance is legally enforceable, or that any dispute will be resolved in your favor. Nimbus provides tools to help users organize and communicate shared expense information.

8. Fees and Charges

Nimbus may introduce paid features, subscriptions, wallet features, or additional payment functionality in the future. If we do, pricing and billing terms will be presented at the time of purchase or activation.

9. Acceptable Use

You agree not to:

• use Nimbus for unlawful, fraudulent, abusive, deceptive, or harmful activity;
• interfere with or disrupt Nimbus systems or security;
• attempt to access accounts, data, or systems without authorization;
• scrape, reverse engineer, or misuse Nimbus except as permitted by law; or
• use Nimbus to send unsolicited or noncompliant communications.

10. Data and Privacy

Your use of Nimbus is also governed by our Privacy Policy. By using Nimbus, you acknowledge that Nimbus may collect, use, and share information as described there.

11. Intellectual Property

Nimbus and its associated software, branding, design, and content are owned by Nimbus or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you ownership of Nimbus or any Nimbus intellectual property.

12. Disclaimers

Nimbus is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law.

We do not guarantee that Nimbus will always be available, secure, error-free, or uninterrupted.

13. Limitation of Liability

To the maximum extent permitted by law, Nimbus and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of Nimbus.

To the maximum extent permitted by law, Nimbus's total liability arising out of or related to these Terms or the service will not exceed the greater of:

• the amount you paid Nimbus in the 12 months before the claim; or
• $100 USD.

14. Indemnification

You agree to defend, indemnify, and hold harmless Nimbus and its affiliates, officers, employees, and service providers from and against claims, liabilities, damages, losses, and expenses arising from:

• your use of Nimbus;
• your violation of these Terms;
• your violation of applicable law; or
• your submitted content, payment requests, or communications to recipients.

15. Termination

You may stop using Nimbus at any time. We may suspend or terminate your access at any time if we believe you violated these Terms or if doing so is necessary to protect Nimbus, users, or third parties.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and may provide additional notice where appropriate. Your continued use of Nimbus after updated Terms become effective means you accept the revised Terms.

17. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles, unless applicable law requires otherwise.
